SERVICE AGREEMENT
& TERMS OF SERVICE

Protecting What Matters

This Service Agreement ("Agreement") is entered into between Black Pine Property Solutions ("Contractor") and the Customer identified on the approved estimate, invoice, or work authorization ("Customer").

By approving an estimate, signing a work authorization, making a deposit payment, electronically accepting services, or otherwise authorizing work to begin, the Customer agrees to all terms and conditions contained herein.

01

SCOPE OF WORK

Contractor agrees to perform only the services specifically listed in the approved estimate, invoice, proposal, or work authorization.

Any additional work requested by the Customer, or required due to hidden conditions, safety concerns, structural conditions, wildlife activity, contamination, or unforeseen site circumstances, shall be considered additional work and may require a written or verbal change order approval.

Additional services are billable separately unless explicitly stated otherwise in writing.

Unless specifically stated otherwise in writing, trapping services are sold based on the contracted trapping duration and professional trapping effort, not upon the guaranteed capture of any specific wildlife species.

02

PAYMENT TERMS

Unless otherwise agreed in writing:

Failure to provide payment upon completion constitutes breach of this Agreement.

Customer agrees that Contractor may suspend services, withhold warranties, delay final documentation, or pursue collection remedies for nonpayment.

  • A 50% deposit is required prior to scheduling and commencement of work.
  • Remaining balance is due immediately upon completion of services, before final demobilization from the jobsite.
  • Any approved change orders are due immediately upon approval or upon completion of the additional work.
03

ACCEPTED PAYMENT METHODS

Accepted payment methods may include:

Personal checks may be refused at Contractor's discretion.

Returned checks, failed transfers, or disputed payments may be subject to additional fees, collection costs, legal expenses, bank fees, and interest where permitted by law.

  • Cash
  • Certified funds
  • Cashier's check
  • Wire transfer
  • ACH transfer
  • Approved electronic payment methods
04

LATE PAYMENTS

Any unpaid balance may accrue interest at the maximum lawful rate permitted under applicable law.

Customer agrees to pay all costs associated with collection efforts including, but not limited to:

  • Attorney fees
  • Court costs
  • Filing fees
  • Lien preparation costs
  • Collection agency fees
  • Administrative recovery costs

Contractor reserves the right to file mechanic's liens, pursue civil action, or seek any other lawful remedy for unpaid balances.

05

WARRANTY CONDITIONS

Any workmanship warranty provided by Black Pine Property Solutions is contingent upon:

Warranty coverage does not apply to:

  • Full payment of all invoices
  • No outstanding balances
  • No unauthorized modifications to completed work
  • Proper maintenance by Customer

ANY UNPAID OR LATE BALANCE MAY VOID ALL WARRANTY OBLIGATIONS.

  • New wildlife entry points outside serviced areas
  • Structural shifting or deterioration
  • Storm damage
  • Water intrusion unrelated to Contractor's work
  • Pre-existing damage
  • Hidden defects
  • Customer neglect
  • Third-party alterations or repairs

Unless specifically stated otherwise in writing, no guarantee is made that wildlife will not attempt future intrusion in unprotected or inaccessible areas.

06

WILDLIFE & PROPERTY CONDITIONS DISCLAIMER

Wildlife exclusion, remediation, insulation removal, sanitation, and property services frequently involve hidden or inaccessible conditions.

Contractor shall not be responsible for concealed damage, contamination, structural failures, mold, rot, wiring damage, odor retention, insulation deficiencies, or additional wildlife activity discovered during or after the project.

Customer acknowledges that:

  • Wildlife behavior is unpredictable
  • Hidden entry points may exist
  • Additional contamination may be present beyond visible areas
  • Structural conditions may prevent full access to all areas

Animals may temporarily avoid traps, alter travel patterns, abandon active den sites, or relocate to other areas of the property during trapping efforts. Such behavior is beyond the Contractor's control and does not constitute failure to perform contracted services.

Any additional required work outside the original scope shall require separate approval and billing.

07

WILDLIFE TRAPPING SERVICES

Wildlife trapping services are professional wildlife management services performed for a contracted trapping duration. The customer is purchasing professional trapping effort, daily trap management, equipment usage, monitoring, and removal of captured wildlife during the purchased trapping period. The customer is not purchasing or receiving a guarantee that any specific animal will be captured.

Wildlife behavior is unpredictable. Black Pine Property Solutions does not guarantee the capture of any specific animal, capture of every target animal, capture within a specific timeframe, or elimination of all wildlife activity during the contracted trapping period.

During the contracted trapping period, Black Pine Property Solutions will:

  • Install appropriate traps for the target species
  • Monitor active traps daily or on the regular schedule agreed upon
  • Reposition, relocate, rebait, or modify trap placement as needed based on observed wildlife activity and field conditions
  • Remove captured target wildlife during the contracted trapping period at no additional trapping charge

Captures of non-target wildlife or other nuisance species are a normal and expected part of wildlife trapping and do not constitute failure of service.

Payment for trapping services is based on technician labor, travel, equipment usage, trap placement, trap monitoring, trap adjustments, and wildlife removal services during the contracted trapping period. Payment is not contingent upon successful capture of any particular animal.

If target wildlife remains after the contracted trapping period expires, additional trapping days or extended trapping services may be purchased under a separate agreement at Black Pine Property Solutions' current rates.

Once trapping equipment has been installed and trapping services have begun, trapping fees are considered earned and are non-refundable except where required by applicable law.

08

ACCESS TO PROPERTY

Customer agrees to provide safe and reasonable access to the property during scheduled service periods.

Contractor is not responsible for delays caused by:

  • Locked access points
  • Unsafe conditions
  • Aggressive animals
  • Hazardous materials
  • Weather conditions
  • Utility interruptions
  • Customer scheduling conflicts

If a scheduled appointment is canceled or inaccessible after crews arrive onsite, additional trip charges or rescheduling fees may apply.

09

CUSTOMER RESPONSIBILITIES

Customer agrees to:

  • Remove valuables from active work areas
  • Secure pets and livestock
  • Maintain safe access to work areas
  • Disclose known hazards or structural concerns
  • Ensure utilities are active when required

Contractor shall not be liable for damages resulting from undisclosed hazards, unsafe conditions, or inaccessible areas.

10

SANITATION & CONTAMINATION DISCLOSURE

Wildlife waste, urine, feces, nesting material, decomposition, and contamination may present health risks.

While Contractor may perform sanitation or remediation services when included in scope, Contractor does not guarantee:

  • Complete elimination of odors
  • Removal of all biological contaminants
  • Air quality restoration
  • Mold remediation unless specifically contracted

Additional remediation may be required beyond the original estimate.

11

STRUCTURAL & EXTERIOR WORK

Exterior sealing, exclusion, repairs, flashing, vent protection, fascia work, and related services may involve existing structural weaknesses or hidden deterioration.

Contractor is not responsible for:

  • Existing rot
  • Hidden water damage
  • Structural instability
  • Previously failed repairs
  • Improper prior construction
  • Cosmetic mismatches

Reasonable variations in material appearance, texture, color, or finish may occur.

12

INSULATION & ATTIC SERVICES

For insulation removal, attic remediation, sanitation, or restoration services:

  • Existing electrical, HVAC, plumbing, or structural conditions may limit accessibility.
  • Contractor is not responsible for pre-existing ceiling conditions or hidden structural defects.
  • Dust migration may occur despite containment efforts.
  • Final insulation depth or R-value may vary slightly due to settling and structural conditions.
13

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Contractor's total liability for any claim arising from services performed shall not exceed the amount actually paid by Customer for the specific services giving rise to the claim.

Under no circumstances shall Contractor be liable for:

  • Consequential damages
  • Incidental damages
  • Lost profits
  • Business interruption
  • Emotional distress
  • Property value claims
  • Temporary relocation expenses
14

FORCE MAJEURE

  • Severe weather
  • Natural disasters
  • Supply shortages
  • Equipment failures
  • Government restrictions
  • Labor shortages
  • Utility outages
  • Acts of God
15

PHOTO & DOCUMENTATION AUTHORIZATION

Unless prohibited in writing, Customer authorizes Contractor to photograph work areas before, during, and after services for:

  • Documentation
  • Quality control
  • Warranty records
  • Training
  • Marketing purposes

No personal identifying information or customer addresses will be publicly disclosed without permission.

16

ESTIMATES & CHANGE ORDERS

Estimates are based on visible conditions at the time of inspection.

Hidden damage, inaccessible areas, additional contamination, structural defects, or unforeseen site conditions may require revised pricing.

Contractor reserves the right to issue change orders for additional required labor, materials, disposal, repairs, or remediation.

Verbal approvals, text approvals, email approvals, or signed approvals may all constitute authorization to proceed.

Extension of trapping services beyond the original contracted trapping period shall be considered additional work and billed at Black Pine Property Solutions' current rates.

17

CANCELLATION POLICY

Deposits may become non-refundable once:

  • Materials are ordered
  • Equipment is reserved
  • Labor is scheduled
  • Project preparation has begun

Last-minute cancellations may be subject to administrative or mobilization charges.

18

DISPUTE RESOLUTION

Customer agrees to provide Contractor reasonable opportunity to inspect and address any concerns prior to initiating chargebacks, complaints, legal claims, or third-party remediation.

Any disputes arising under this Agreement shall be governed by the laws of the State of New York unless otherwise required by applicable law.

Venue for disputes shall be in the county where services were performed or where Contractor principally operates.

19

ENTIRE AGREEMENT

This Agreement, together with any estimate, invoice, proposal, work authorization, or approved change order, constitutes the full agreement between the parties.

No verbal representations or prior discussions shall modify these terms unless confirmed in writing by Contractor.

20

SEVERABILITY

If any provision of this Agreement is determined to be unenforceable, all remaining provisions shall remain in full force and effect.

21

CUSTOMER ACKNOWLEDGEMENT

Customer acknowledges that they have read, understood, and agreed to these terms and conditions.

Approval of services, payment of deposit, electronic authorization, signed estimate, or commencement of work shall constitute acceptance of this Agreement.
